Locksmithy Desktop Software Terms
These terms apply to the Locksmithy Key Control Manager and Locksmithy Key Control and Asset Manager desktop products. They should be read with any checkout information shown before purchase and with the applicable Privacy Notice.
1. Licence
A paid annual licence grants the customer a non-exclusive, non-transferable right to use the purchased edition for its internal business purposes during the paid licence period and within the authorised device allowance. A lifetime licence has no scheduled subscription expiry, but remains subject to these terms and legitimate security controls.
2. Editions and entitlements
Key Control Manager provides key-control functionality. Key Control and Asset Manager includes key control plus asset/tool-management functionality. A licence only unlocks the edition and device allowance shown for that licence.
3. Activation and licence checks
The software activates online and periodically contacts Locksmithy's licensing service to validate the licence, product entitlement, authorised device, subscription status, expiry, software version and authoritative server time. A limited encrypted offline grace period may permit temporary use during a genuine internet or licensing-service outage. Deliberate clock manipulation, licence circumvention or sharing outside the licensed organisation can cause access to be restricted.
4. Devices and staff
Each licence has a device allowance. Customers replacing a computer can deactivate an old device through the available customer or support process before activating a replacement. The customer is responsible for its staff permissions, approval settings, credentials and physical access to the computers on which the software is installed.
5. Customer data and backups
The customer remains responsible for business data entered into the desktop software, including key, staff, system, tag and asset information. The customer should maintain suitable backups, protect backup passwords and verify operational records. Normal licence validation does not require uploading the customer's local key or asset database to Locksmithy.
6. Updates
The software can check for updates after revalidating the licence and device. Updates may correct defects, improve security or compatibility, or add/change features. Some security or compatibility updates may be designated mandatory. Update installers are delivered through time-limited private download links and are integrity checked before installation.
7. Restrictions
Except to the extent Australian law gives a right that cannot be excluded, the customer must not resell, sublicense, publish licence codes, redistribute paid installers outside the licensed organisation, deliberately bypass licensing/security controls, or use the software to facilitate unlawful activity.
8. Third-party services and hardware
Some functions can depend on Windows, internet connectivity, scanners/readers, printers, drivers, email delivery, Square or other third-party services. Availability and compatibility of third-party services can change independently of Locksmithy.
9. Billing, renewal and cancellation
Where annual automatic renewal is selected, the renewal price and cadence are shown before purchase. Cancelling future renewal does not shorten an already-paid licence period. If renewal fails or an annual paid period expires, access can cease after any applicable grace period. A manual or lifetime licence is not automatically renewed unless expressly stated.
10. Suspension and revocation
Locksmithy may suspend or revoke a licence where reasonably necessary to address fraud, chargeback, serious breach, unauthorised redistribution, deliberate licence circumvention or a security incident. Where appropriate and lawful, access may be restored once the issue is resolved.
11. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded or modified under the Australian Consumer Law or other applicable law.
12. Liability and business use
The software is intended to support business processes and record keeping; it does not replace professional judgement, physical security procedures or legal/compliance obligations. Any limitation of liability is subject to rights and remedies that cannot lawfully be excluded.
13. Changes and governing law
These terms may be updated for future purchases or material service changes. The current version is published here. These terms are governed by the laws of Victoria and applicable Commonwealth laws of Australia, subject to any non-excludable law that applies.
